Terms and Conditions of Service
1. Company Information
MM Staffing Services Inc. (“Company”, “MM Staffing”, “we”, “our”) operates as a staffing and recruitment provider in the State of Virginia, United States.
2. Scope of Services
MM Staffing provides the following services to business clients (“Client”):
- Temporary staffing
- Permanent placement
- Contract staffing
- Recruitment services
All services are subject to individual service agreements, proposals, or confirmations.
3. Acceptance of Terms
By engaging MM Staffing, the Client agrees to be bound by these Terms and any executed service agreement.
4. Employment & Supervision
All personnel supplied by MM Staffing are employees of MM Staffing Services Inc., unless otherwise stated in writing.
The Client agrees to:
- Direct and supervise daily work
- Provide a safe and compliant workplace
- Ensure proper training and task instructions
5. Payment Terms & Fees
Payment terms shall be agreed upon at onboarding and documented in the service agreement.
MM Staffing reserves the right to charge:
- Late Payment Fee: up to 2% per month (or maximum allowed by law)
- Collection Costs: including legal fees and recovery expenses
Failure to pay may result in:
- Immediate suspension of services
- Termination of agreement
6. Minimum Billing & Overtime
- Minimum billing hours may apply per shift (e.g., 4-hour minimum unless otherwise agreed)
- Overtime, holiday, and weekend rates will be billed at agreed premium rates
7. Replacement Policy (No Guarantee)
MM Staffing may provide a replacement employee in case of:
- Absence
- Performance issues
- Resignation
Replacement will be arranged as soon as reasonably possible, subject to availability.
⚠️ No guarantee is provided for:
- Replacement timing
- Candidate equivalency
- Continuous workforce availability
8. Non-Solicitation / Buy-Out Clause 🚨 (Revenue Protection)
The Client agrees not to:
- Directly hire
- Engage
- Solicit
Any MM Staffing employee during assignment and for 12 months after assignment ends, without written consent.
If breached, the Client agrees to pay a placement fee, typically:
👉 20%–30% of the employee’s annual salary or a pre-agreed fee.
9. Cancellation Policy
The Client must provide at least 24 hours’ notice prior to cancelling scheduled services.
Failure to provide notice may result in:
- Full or partial charge for the scheduled shift
10. Client Responsibilities
The Client is responsible for:
- Workplace safety compliance (OSHA and applicable laws)
- Providing necessary safety equipment
- Reporting incidents, injuries, or misconduct immediately
- Compliance with all employment and labor laws
11. Background Checks Disclaimer
MM Staffing may perform background screening where applicable; however:
- No guarantees are made regarding employee history
- The Client is responsible for final suitability assessment
12. Insurance & Risk Allocation
MM Staffing maintains appropriate insurance coverage as required by law.
However, the Client assumes responsibility for:
- Workplace safety conditions
- Operational risks during assignment
13. Limitation of Liability
MM Staffing shall not be liable for:
- Indirect or consequential damages
- Loss of business, revenue, or profits
- Actions taken under Client supervision
Maximum liability, if applicable, shall not exceed the total fees paid for services rendered.
14. Indemnification
The Client agrees to indemnify and hold harmless MM Staffing from any claims, damages, or liabilities arising from:
- Workplace incidents
- Unsafe conditions
- Client negligence or misuse of personnel
15. Confidentiality
Both parties agree to maintain strict confidentiality of all:
- Business information
- Employee data
- Operational processes
This obligation survives termination.
16. Termination of Services
MM Staffing reserves the right to terminate services immediately if:
- Payment terms are violated
- Workplace conditions are unsafe
- The Client breaches any terms
17. Independent Contractor Restriction
The Client may not reclassify or treat MM Staffing employees as independent contractors.
18. Force Majeure
MM Staffing shall not be held liable for failure to perform due to events beyond reasonable control, including:
- Natural disasters
- Government actions
- Labor shortages
- System failures
19. Governing Law
These Terms shall be governed by the laws of the State of Virginia, United States.
20. Amendments
MM Staffing reserves the right to update these Terms at any time. Continued use of services constitutes acceptance.
21. Entire Agreement
These Terms, together with any service agreement, represent the entire agreement between the parties.
